| Shareholder Representatives, Officers, Directors and Committee Structure |

The officers of the Oyster Bay II Property Owners' Association (POA), Inc., are elected annually by the members of the POA who are lot owners.
In addition to their duties to the POA,
these elected officers also serve as the shareholders' representatives for the association as the sole-stockholder of the Oyster Bay Water and Sewer Company, Inc. at the Company's annual stockholders' meeting, held in October. At the stockholders' meeting, the shareholders' representatives elect the Directors of the Water and Sewer company from among the members (property owners) of the association.
